Terms of Service

1. Acceptance of Terms

By installing, accessing, or using WA Contact Verify ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Service.

These Terms constitute a legal agreement between you ("User", "you", or "your") and SIA Baltic Oranges ("Company", "we", "us", or "our"), a company registered in Latvia.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

WA Contact Verify is a Pipedrive marketplace application that provides:

• WhatsApp Verification: Checking whether phone numbers in your Pipedrive contacts are registered with WhatsApp
• CRM Integration: Automatically updating custom fields in Pipedrive with verification results
• Bulk Processing: Verifying multiple contacts at once using Pipedrive filters
• Automation: Optional automatic verification of new contacts
• Webhook Notifications: Sending verification results to external systems

The Service operates on a credit-based system. Each verification consumes one credit from your account balance.

3. Account & Access

3.1 Pipedrive Account Required

To use WA Contact Verify, you must have an active Pipedrive account. The Service is installed through the Pipedrive Marketplace and authenticates via Pipedrive OAuth.

3.2 Account Responsibility

You are responsible for:

• All activity that occurs under your Pipedrive account when using our Service
• Maintaining the security of your Pipedrive credentials
• Ensuring that users in your organization use the Service appropriately
• Any charges incurred through credit purchases

3.3 Access Permissions

By installing the Service, you grant us permission to:

• Read contact information (phone numbers) from your Pipedrive account
• Create and update custom fields on your contacts
• Access basic company and user information

We only access data necessary for the Service to function. See our Privacy Policy for details.

4. Pricing & Payments

4.1 Free Tier

Every installation receives 100 free verifications per calendar month. Free credits reset on the first day of each month and do not roll over.

4.2 Credit Packs

Additional verifications can be purchased as one-time credit packs:

• Starter: 500 credits for $10
• Pro: 1,500 credits for $25
• Business: 5,000 credits for $50

Purchased credits never expire and roll over indefinitely.

4.3 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your payment card information.

4.4 Refund Policy

Refunds are available for unused credits within 30 days of purchase. No refunds are provided for partially or fully used credit packs. To request a refund, contact us at info@balticoranges.com.

4.5 Price Changes

We reserve the right to change pricing at any time. Price changes will not affect credits you have already purchased. We will provide reasonable notice of any price increases.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5.1 Prohibited Activities

• Abuse or spam: Use the Service to send unsolicited messages or for any form of spam
• Scraping: Use automated tools to extract data from the Service beyond normal use
• Circumvention: Attempt to bypass credit limits, rate limits, or other restrictions
• Reselling: Resell access to the Service or verification results to third parties
• Harmful use: Use the Service for any illegal, harmful, or fraudulent activity
• Reverse engineering: Attempt to decompile, reverse engineer, or derive source code from the Service

5.2 Third-Party Compliance

You agree to comply with:

• WhatsApp Terms of Service: You must have a legitimate business purpose for verifying WhatsApp status and must not violate WhatsApp's policies
• Pipedrive Terms of Service: Your use of data from Pipedrive must comply with their terms
• Applicable Laws: All local, national, and international laws regarding data protection and electronic communications

5.3 Rate Limits

We may impose rate limits to ensure fair usage and service stability. Attempting to circumvent these limits may result in account suspension.

6. Limitations of Liability

6.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2 No Accuracy Guarantee

While we strive for accuracy, we do not guarantee that verification results are 100% accurate. WhatsApp registration status can change at any time, and results reflect status at the time of verification only. You should not rely solely on our Service for critical business decisions.

6.3 No Uptime Guarantee

We do not guarantee continuous, uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Third-party service outages (Pipedrive, Whapi.cloud, etc.)
• Technical issues beyond our control

6.4 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIA BALTIC ORANGES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6.5 Third-Party Services

We are not responsible for the actions, content, or policies of third-party services integrated with WA Contact Verify, including Pipedrive, Whapi.cloud, and Stripe.

7. Termination

7.1 Termination by User

You may stop using the Service at any time by uninstalling WA Contact Verify from your Pipedrive account. Upon uninstallation:

• Your access to the Service will be immediately revoked
• Your OAuth tokens will be deleted
• Unused purchased credits are non-refundable (except as per our refund policy)

7.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Abuse of the Service or other users
• Fraudulent activity
• Non-payment of fees
• Requests from law enforcement

7.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data (subject to legal retention requirements)
• Sections of these Terms that by their nature should survive will remain in effect

8. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page
• For material changes, we will provide notice through the app or via email
• Continued use of the Service after changes take effect constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the Service and uninstall the app.

9. Governing Law

9.1 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Riga, Latvia. You agree to submit to the personal jurisdiction of such courts.

9.3 EU Consumer Rights

If you are a consumer in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

9.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

9.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SIA Baltic Oranges regarding the Service and supersede any prior agreements.
